Terms and Conditions for Cornerstone Billing Services, Inc. (CBS)
1. Acceptance of Terms
By accessing and using the services provided by Cornerstone Billing Services, Inc. ("CBS," "we," "us," "our"), you ("Client," "you," "your") agree to comply with and be bound by the following terms and conditions (the "Terms"). If you do not agree to these Terms, you must not use our services or website.
2. Services Provided
CBS offers a variety of services, including but not limited to:
- Medical billing and claims filing
- Practice management services
- Credentialing and recredentialing
- 24/7 access to billing accounts through a HIPAA-compliant website
- Online client verification and authorization tracking
- Session and payment reconciliation
- Accounts receivable reports
Services are provided on an as-is basis. While we strive to maintain high-quality service, CBS is not responsible for any issues that may arise from external factors beyond our control (e.g., insurance company policies, regulatory changes).
3. Client Responsibilities
To ensure smooth service delivery, the Client agrees to:
- Provide accurate and complete information required for medical billing, practice management, and credentialing services.
- Timely submit necessary documentation, patient information, and authorizations.
- Review reports and billing statements as needed and notify CBS of any discrepancies within a reasonable timeframe.
Failure to provide accurate or timely information may result in delays or errors for which CBS is not responsible.
4. Payment Terms
CBS services are billed on a monthly basis unless otherwise agreed upon in writing. Payments for services are due upon receipt of the invoice. We reserve the right to suspend or terminate services for accounts that are overdue by more than 30 days.
- Late fees may be applied for unpaid invoices beyond the 30-day period.
- Payments can be made via credit card, ACH transfer, or other approved methods as specified in the invoice.
5. Confidentiality and Data Security
CBS is committed to maintaining the confidentiality and security of your practice and patient information. We comply with all applicable HIPAA regulations and take reasonable measures to protect the data we process on your behalf.
- Access to your billing accounts is provided through a secure, HIPAA-compliant portal.
- CBS will not share your information with third parties unless required by law or as necessary for service delivery (e.g., insurance companies, government agencies).
6. HIPAA Compliance
CBS follows HIPAA guidelines to safeguard Protected Health Information (PHI). Both parties agree to take necessary steps to comply with HIPAA regulations. CBS is not liable for any breach of confidentiality caused by the Client's failure to maintain security protocols on their end (e.g., sharing passwords, mishandling patient information).
7. Termination of Services
Either party may terminate this agreement at any time by providing a 30-day written notice. Upon termination:
- CBS will cease providing services but will assist with the transition to a new provider if requested.
- The Client is responsible for payment of all outstanding fees up to the termination date.
- All data and records will remain confidential and protected in accordance with our confidentiality policies and applicable laws.
8. Limitation of Liability
CBS strives to provide accurate and timely billing services, but we cannot guarantee that every claim will be approved or paid. CBS is not responsible for:
- Rejected claims due to errors made by insurance companies, inaccurate information provided by the Client, or policy changes.
- Any financial losses resulting from claim denials or delayed payments.
In no event will CBS be liable for indirect, incidental, or consequential damages, including but not limited to lost revenue or profits.
9. Dispute Resolution
Any disputes arising from these Terms or the services provided by CBS will be resolved through arbitration in the state of Rhode Island. Each party will bear its own costs related to arbitration.
10. Changes to Terms
CBS reserves the right to modify these Terms at any time. Clients will be notified of any significant changes via email or through a notice on our website. Continued use of services following any updates constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the state of Rhode Island, without regard to its conflict of law principles.
